These Terms of Service ("Terms") govern your access to and use of the MillioSites website and services ("Services"), operated by MillioSites ("MillioSites," "we," "us," or "our"). By accessing or using our website or Services, you agree to be bound by these Terms.

If you do not agree, please do not use our Services.

1. Description of Services

MillioSites provides fully managed website design, build, hosting, maintenance, and integration services as defined by the selected service tier.

All websites are structured, implemented, and managed by MillioSites. Clients do not receive backend control, template editing rights, or system-level customization access unless explicitly agreed in writing.

Specific features, functionality, integrations, and limits are governed by the selected service tier and related agreement.

2. Eligibility & Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.

You may not use our Services to:

  • Engage in illegal, deceptive, or fraudulent activity
  • Distribute malware, spam, or harmful content
  • Infringe on intellectual property rights
  • Attempt to access systems or data without authorization

We reserve the right to refuse or restrict service at our discretion.

3. Accounts & Access

Some Services may require you to provide information or maintain an account. You are responsible for ensuring that any information you provide is accurate and up to date.

MillioSites may access client accounts or platforms solely for the purpose of providing and managing Services.

4. Intellectual Property

Client-Owned Deliverables

Upon final payment and website completion, you own the final website deliverables created specifically for your website, including website content, design, layout, and site-specific code. You may host, export, or transfer your website at any time.

MillioSites Proprietary Systems

MillioSites retains all rights, title, and interest in its internal tools, frameworks, templates, systems, workflows, automation logic, and reusable components used in the creation or operation of the website. These elements are licensed to you solely as part of your website and may not be extracted, resold, or reused independently.

Client-Provided Content

You retain ownership of all content, branding, and materials you provide to MillioSites. You grant MillioSites a limited, non-exclusive license to use this content solely for the purpose of delivering and maintaining the Services.

5. Third-Party Services

MillioSites may rely on third-party tools or services required to operate the website to deliver Services.

MillioSites is not responsible for outages, errors, limitations, or changes caused by third-party services. Availability and functionality of such services are outside our control.

6. Payments & Fees

Payment Structure

Website services require a 50% deposit before work begins. The remaining 50% is due before launch. No website launches before final payment is received. Deposits are non-refundable once work has begun.

Once a website has been launched, all fees paid are non-refundable.

Hosting & Launch Support

Every website includes 30 days of hosting after launch. This is a launch support window to ensure your website is stable and accessible. Hosting does not continue automatically after 30 days.

Limited Post-Launch Support

MillioSites will address functional errors directly related to the delivered website structure reported within fourteen (14) days of launch at no additional charge.

This does not include new features, content changes, redesign requests, or third-party platform issues.

Ongoing Hosting & Care Plans

If you wish to keep hosting with MillioSites after the initial 30-day period, an active Care Plan is required. Care Plans are optional for Tier 1–4 websites and required for Tier 5 websites. Care Plan billing begins on Day 31 if hosting remains with MillioSites. Payment terms for Care Plans are provided separately.

A Care Plan is a recurring service agreement covering hosting, updates, and ongoing website maintenance as defined in the selected plan.

Website Migration

You may transfer your website to your own hosting or another provider at any time. Basic file export assistance is included. Additional migration configuration or custom setup may incur additional fees. Upon migration, hosting responsibility transfers fully to you or your chosen provider.

Basic export assistance includes delivery of website files and database in standard format. Configuration, DNS changes, or setup on third-party platforms is not included unless separately agreed in writing.

Suspension Rights

MillioSites may suspend hosting if final payment remains unpaid, if Care Plan payments are unpaid, or if hosting continues past 30 days without an active Care Plan.

Suspension may occur within three (3) business days of non-payment or non-compliance.

Failure to pay applicable fees may result in suspension or termination of Services.

7. Website Revisions

Each service tier includes a defined number of revision rounds as outlined on the Pricing page.

A revision round means a consolidated list of requested changes submitted at one time following preview delivery.

Revision rounds do not include structural redesign, additional pages beyond tier limits, new functionality, new integrations, copywriting not originally provided, or changes introduced after final approval.

Requests outside the included revision allowance may require a paid change order.

Once final approval is provided, additional changes are billed separately.

8. Change Orders

Any request that exceeds the selected service tier, revision allowance, or defined scope requires a written change order.

Change orders may include additional pages, additional integrations, functional upgrades, tier escalation, or redesign beyond approved structure.

Work outside original scope does not begin until change order pricing is approved.

9. Add-Ons & Additional Work

Defined add-ons listed on the Pricing page may be purchased in addition to the selected service tier.

Add-ons include, but are not limited to: additional pages, additional integrations, additional revision rounds (where applicable), and content updates outside Care Plans.

Add-ons do not override tier escalation requirements. If a requested feature exceeds the functional limits of the selected tier, a tier upgrade may still be required.

Major feature additions are quoted separately and are not automatically included as add-ons.

Add-on pricing is subject to change but does not apply retroactively to confirmed agreements.

10. Tier Structure & Escalation

MillioSites operates under a defined service tier structure as outlined on the Pricing page.

The highest functional requirement determines the applicable tier.

If additional functionality is requested that exceeds the selected tier, the website must be upgraded to the appropriate tier before implementation.

Partial upgrades that undercut tier structure are not permitted.

If the Client declines a required tier escalation, MillioSites may proceed with delivery limited strictly to the originally selected tier. Features exceeding that tier will not be implemented without formal upgrade.

11. Client Responsibilities & Dependencies

Timelines depend on timely delivery of required content, approvals, assets, and feedback from the Client.

If required materials or approvals are delayed, MillioSites may pause the website build until materials are received.

Delays exceeding thirty (30) days may result in rescheduling or additional fees.

MillioSites is not responsible for delays caused by third-party platforms, integrations, or hosting providers.

If a website build remains inactive for more than ninety (90) days due to client delay, MillioSites may require a restart fee before resuming work.

12. Care Plan Services

Care Plans provide ongoing hosting and website maintenance as defined by the selected plan.

Care Plans may include hosting, security updates, software updates, and defined monthly edit time if applicable.

Care Plans do not include redesign, structural expansion, new integrations beyond tier limits, marketing services, or consulting services.

Update requests must be submitted through the designated communication channel.

Unused monthly edit time does not roll over unless explicitly stated in the selected plan.

Care Plans do not expand the original website scope, selected tier functionality, or integration limits. Care Plans provide maintenance and defined updates only. Any request that exceeds the selected tier or requires structural expansion is subject to a change order or tier upgrade.

13. Termination

We may suspend or terminate access to the Services at any time, with or without notice, if we believe these Terms have been violated or if continued service is not feasible.

You may discontinue use of the Services at any time, subject to any outstanding payment obligations.

Termination for non-payment may occur following suspension as outlined in Section 6.

14. Disclaimers

The Services are provided on an "as is" and "as available" basis.

MillioSites does not guarantee specific outcomes, including but not limited to search engine rankings, revenue, traffic, uptime, or business results. Use of the Services is at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law, MillioSites shall not be liable for any indirect, incidental, consequential, or special damages arising from or related to your use of the Services.

Our total liability for any claim shall not exceed the amount paid by you to MillioSites for the Services giving rise to the claim.

16. Data Retention

Following termination or migration, MillioSites is not obligated to retain website files or data beyond thirty (30) days unless otherwise agreed in writing.

17. Force Majeure

MillioSites is not liable for delays or failure to perform resulting from causes beyond reasonable control, including but not limited to natural disasters, internet outages, third-party service interruptions, government actions, or technical failures.

18. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable therein.

19. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
